The Crescent Cycling Club 

Club Constitution

 

 

1.   THE CLUB:

 

The Club shall be known as ‘The Crescent Cycling Club’ (hereinafter will be referred to as ‘The Club’).

 

‘The Club’ may also be referred to as ‘The Crescent CC’, and ‘The Crescent Wheelers’.

 

The Crescent Cycling Club will be affiliated to British Cycling.

 

The Club colours shall be predominantly Purple, Black and White

 

 

 

2.    THE PURPOSES / AIMS OF THE CLUB:

The purpose of The Club is to provide and promote inclusive and friendly road cycling for the communities of Harlow and Sawbridgeworth and the surrounding areas but not limited thereto.

The Club and its members shall promote and encourage road cycling, road safety, respect, openness, a friendly inclusive environment and enjoyable rides for cyclists of all levels.

 

 

 

3.   CLUB AFFILIATIONS:

The Club shall be affiliated to British Cycling (BC), Cycling Time Trials (CTT) and Eastern Counties Cycling Association (ECCA).

The Committee will decide whether other affiliations are appropriate, unless the AGM declares otherwise.

 

4.   MANAGEMENT OF THE CLUB:

The general management of The Club’s funds, property and affairs shall be by a Committee.

The Committee shall have the power to co-opt members if necessary.

The Committee shall have the power to:

  • Raise funds by subscriptions.

  • Open Bank Accounts

  • Make grants to cycling causes.

  • Affiliate to any Bodies regulating or organizing the sport as necessary.

 

5.   CLUB OFFICIALS:

The Club Officials shall comprise:

  • President – who shall be ex-officio

  • Club Captain

  • Vice Captain

  • Secretary / Membership Secretary

  • Treasurer

  • The above Club Officials shall be elected / re-elected at the AGM.

 

 

6.   CLUB FINANCES:

 

The Club shall be run on a ‘Not for Profit’ basis.

 

The Club’s financial year will run from 1st January to 31st December.

After which the Treasurer will prepare an audited statement of annual accounts which will be presented at the AGM.

 

All Club monies will be banked in an account held in the name of the Club.

 

Any cheques drawn against the Club funds should hold the signature of the Treasurer and/or any other officially bank approved Club Official.

 

All members of the Club shall be jointly and severely responsible for the financial liabilities of the Club.

The Club may also in connection with the sports purposes of the Club supply and sell Club Clothing (at cost / non profit).

 

All income will be reinvested in the Club. No surplus monies will be distributed to members or third partied other than that set out in this Constitution.

 

 

7.   MEMBERSHIP / SUBSCRIPTIONS:

Membership of the Club shall be open to anyone interested in the sport on application, regardless of sex, age, disability, ethnicity, nationality, sexual orientation, religion or other beliefs. However, limitation of membership according to available facilities is allowable on a non-discriminatory basis.

The Club committee may refuse membership, or remove it, only for good cause such as conduct or character likely to bring the Club or sport into disrepute.

The Club has three classes of membership namely:-

  1. Life members who shall not be required to pay subscriptions and be entitled to vote at all club meetings.

  2. Ordinary members who shall pay annual subscriptions and be entitled to vote at all club meetings.

  3. Second claim members who shall pay one half of the annual subscriptions and not be entitled to vote at club meetings

Subscriptions shall be decided upon a non-discriminatory and fair basis. Subscriptions will be kept at levels which will not pose a significant obstacle to people participating.

All Members will be subject to the rules and regulations of the Constitution and by joining the Club will be deemed to accept these regulations and codes of practise that the Club has adopted.

Club subscriptions shall be due and payable in the month of January each year. Members whose subscriptions are not paid by the end of February in that year shall be deemed to have resigned and their name removed from the Register of Members, plus any Club related social media platforms.

Any new members joining after 31st August will only be required to pay half the subscription in that year. Their full subscription will begin in January the following year.

Members take part in Club rides at their own risk and agree to abide by the Club’s Generic Rules regarding basic bike maintenance, ride preparation and road riding etiquette. This information can be found on our Website.

All members are required to read ‘the Rules’ upon joining the Club.  If in any doubt please contact the Club Secretary.

Members may resign from being members of the Club at any time by sending an email to the Membership Secretary.

A full list of members will be held securely by the Club Secretary.

 

8.   SAFETY AND INSURANCE:

Note that The Club and only the elected ride leader(s) will be covered for insurance purposes by our affiliation to British Cycling.

Individual members are NOT covered, so personal Third Party liability insurance is a highly recommended and advised for membership.

Members can join either British Cycling** or Cycling UK (formerly CTC) which will give them third party insurance cover.  There are also other Companies offering third party liability insurance, such as LAKA … please contact the Club Secretary for advice and information if needed.

**Note that only RACE GOLD, RACE SILVER, RIDE and COMMUTE membership with British Cycling includes the Third Party Cover.  BRONZE membership does NOT include the insurance cover.

This highly recommended advice is given so that YOU are protected if any unfortunate incident occurs where you damage someone else’s property.

Any prospective new joiners invited to try out the Club Ride will be covered, however they will be limited to 3 test rides, after which they must pay the membership and join the Club.

All riders are advised to carry photo ID and an emergency mobile contact number when you ride with the Club.

 

9.   COMMITTEE::

The Committee shall comprise the officials of the club and co-opted members.

All committee members must be paid up members of the Club.

The term of Office is normally for one year, and members will be eligible for re-election.

The Committee shall be responsible for adopting new policy, codes of practice and rules that affect the organisation, running and management of the Club.

The Committee has full power to decide all matters regarding the efficient running and administration of the Club and its activities, including:

  • Dealing with the financial affairs of the Club.

  • Raising funds through the Club Subscriptions.

  • Opening Bank Accounts.

  • Depositing funds in a lawful manner.

  • Buying official Club Clothing to sell to members at cost (non profit).

  • Doing all things considered reasonably necessary by a majority of the Committee to advance the Clubs purposes.

  • Co-opting members of the Club to serve on the Committee until the next AGM

  • Initial Club kit design was agreed upon by the Founding Members. Any subsequent substantial changes to the design must be approved by a majority vote of the Club members, ordinarily at the AGM.

 

 

10.   ANNUAL GENERAL MEETING (AGM):

The Club will hold an AGM once in every calendar year, normally to be held in the month of March:

  • Notice of the AGM will given by the Club Secretary with at least 14 days notice.

The notice will be given via email and the Club’s other social media platforms.

  • All paid-up Members can attend the AGM

  • At the AGM we will…..

  • Receive Committee reports on the Club’s activities during the past year.

  • Discuss and report on Club membership

  • The Treasurer will produce and present accounts of the Club for the last financial year.

  • Elect Officials to serve until the next AGM

  • Discuss and report on Club membership

  • Agree the Club Subscription fees for the following year.

  • Consider any proposed changes to the Club Constitution.

  • Decisions shall be by simple majority of those voting.

  • Discuss and vote on any resolution (whether about policy or to change the Rules) and deal with any other business put to the meeting.

  • The Chair of the meeting will have the final casting vote if there is no majority of votes of those members attending the AGM

  • Minutes will be taken at the AGM

 

 

11.   EXTRAORDINARY GENERAL MEETINGS (EGM):

A Special General Meeting may be called by application to the Secretary supported by at least 10% of the members of the Club.

The committee shall also have the power to call an EGM by decision of a simple majority of the committee members.

 

 

12.   COMMITTEE MEETINGS:

  • The committee shall normally meet as required.

  • Four members shall form a quorum of which at least 2 shall be Club Officials.

  • The Chair, or whoever those present choose, shall chair meetings.

  • Decisions shall be by simple majority of those voting.

  • The Committee may delegate any of their functions to sub-committees but must specify the scope of its activity and powers.

 

 

13.   DISSOLUTION / Winding up the Club:

A resolution to dissolve the Club can only be passed at an AGM or EGM through a majority vote of the membership.

In the event of dissolution, all debts should be cleared with any Club funds.

After settling any liabilities of the Club, the Committee shall dispose of the net assets remaining to:

  • Another sports club with similar purposes to the Club for use by them for related sports

 

  • Become the property of the Clubs national governing body (currently British Cycling)

 

 

14.   AMENDMENTS TO THE CONSTITUION:

This Constitution may only be amended at an AGM (or EGM) by a simple majority of the votes cast.

The Constitution will only be changed through agreement by a simple majority of the votes cast on a show of hands.

 

 

15.   OTHER MATTERS:

Any matter not provided for in these Rules shall be dealt with by the Committee whose decision shall be binding on all parties.
